Moraa Terms of Service
Effective Date: October 8, 2026
These Terms of Service (“Terms”) govern your access to and use of Moraa’s websites, applications, learning experiences, professional and career-development services, communications, artificial-intelligence and data-driven features, payment functionality, and related products and services (collectively, the “Services”).
The Services are provided by Moraa, Inc., a Delaware corporation, doing business as Moraa Learning in California (“Moraa,” “we,” “us,” or “our”).
By creating an account, clicking to accept these Terms, purchasing or enrolling in a Service or Experience, or otherwise using the Services, you agree to these Terms, our Privacy Policy, and any additional terms that apply to a particular Service. If you do not agree, do not use the Services.
IMPORTANT: THESE TERMS INCLUDE AN AGREEMENT TO RESOLVE MOST DISPUTES THROUGH INDIVIDUAL BINDING ARBITRATION AND INCLUDE A CLASS ACTION AND JURY TRIAL WAIVER. PLEASE REVIEW SECTION 21 CAREFULLY.
1. About Moraa and Key Definitions
Moraa provides a platform for learning, professional and career development through which Users may create, share, discover, purchase, deliver, and participate in learning Experiences and related activities. Moraa may in the future offer additional Services, which may include coaching or advisory services, subscriptions, memberships, bundles, sponsored programs, skills or career insights, and other learning, professional, or career-development offerings. Additional or updated terms, disclosures, pricing, and consents may apply when such Services are introduced.
“User” means anyone who accesses or uses the Services.
“Practitioner” means a User who creates, publishes, hosts, facilitates, manages, sells, coaches, advises, or otherwise provides an Experience or other expertise-based service through Moraa.
“Participant” means a User who enrolls in, purchases, accesses, attends, receives, or otherwise participates in an Experience or other Service. A User may be both a Practitioner and a Participant.
“Experience” means a learning experience created, hosted, offered, or made available through Moraa, including workshops, courses, self-paced learning, group learning, community learning activities, and other learning formats Moraa may support.
“User Content” means materials a User uploads, creates, submits, posts, records, transmits, or otherwise makes available through the Services.
Product names, labels, interfaces, and features may change over time without changing these definitions.
2. Eligibility and Accounts
You must be at least 13 years old to create a standard Moraa account or use the general Services. If you are under the age at which you may enter into a binding agreement in your jurisdiction, you may use Moraa only with the permission and supervision of a parent or legal guardian where required by applicable law.
You must be at least 18 years old to act as a Practitioner, sell Services, receive payouts, or enter into a commercial arrangement with Moraa.
You must provide accurate information, keep your credentials secure, and promptly notify Moraa if you believe your account has been compromised. You may not impersonate another person or use another User’s account without authorization.
3. Experiences, Access, Visibility, and Discovery
Practitioners may make Experiences available using access and visibility options supported by Moraa. Depending on the Service, these may include public access, private or invitation-only access, direct-link access, approval requirements, payment requirements, capacity limits, prerequisites, organizational restrictions, or other conditions.
A publicly accessible Experience is not necessarily listed, searchable, recommended, featured, indexed, or otherwise distributed through Moraa’s discovery or marketplace surfaces. Moraa may determine which Experiences, Practitioners, profiles, or other content are eligible for listing, recommendation, promotion, or distribution.
Publication does not guarantee discovery, promotion, enrollment, revenue, or any particular level of distribution.
4. Practitioners and Moraa’s Role
Practitioners are responsible for the Experiences and expertise-based services they provide, including their content, descriptions, representations, delivery, professional judgment, and interactions with Participants.
Unless Moraa expressly states otherwise for a particular program, Practitioners are independent users of Moraa and are not employees, agents, partners, or representatives of Moraa.
Use of the term “Practitioner” does not mean Moraa has certified, licensed, endorsed, or independently verified a User’s expertise, credentials, qualifications, or professional status unless Moraa expressly states otherwise.
Moraa may review or approve Practitioners before enabling certain capabilities and may establish quality, safety, content, commercial, or eligibility standards. A separate Practitioner Agreement or program-specific terms may apply. If those terms conflict with these Terms, the more specific terms control for their subject matter.
5. Coaching, Advisory, and Other Expertise-Based Services
Moraa may in the future enable Practitioners to provide one-to-one or group coaching, mentoring, advisory, feedback, office hours, or other expertise-based services. If introduced, the scope, format, availability, price, expiration, scheduling, refund terms, and other material terms will be disclosed as appropriate before purchase or booking. Practitioners will remain responsible for services they provide and for applicable professional, licensing, confidentiality, and other obligations.
6. Purchases, Payments, Fees, and Payouts
Some Services are free and others require payment. Before completing a purchase, Participants will have an opportunity to review the applicable price and material purchase terms.
Payments are processed through third-party payment providers. Practitioners who receive payments through Moraa may be required to establish and maintain a connected payment account and provide information required for identity verification, tax reporting, fraud prevention, and payouts.
Moraa may charge platform, transaction, marketplace, distribution, subscription, co-production, or other fees. Applicable Practitioner fees will be disclosed through the Services, a Practitioner Agreement, program terms, or another applicable commercial arrangement.
Moraa and its payment providers may deduct applicable platform fees, payment-processing fees, refunds, chargebacks, taxes, discounts, credits, or other disclosed amounts before remitting net proceeds to a Practitioner.
Practitioners are responsible for taxes imposed on their income or earnings except to the extent Moraa or a payment provider is legally required to collect, withhold, report, or remit taxes. Payment processing is also subject to the applicable payment provider’s terms.
7. Refunds and Cancellations
Purchases made through Moraa are subject to Moraa’s Refund & Cancellation Policy, which is incorporated into these Terms by reference.
Moraa may administer and determine refunds centrally in accordance with that policy and applicable law. Practitioners may not impose inconsistent refund or cancellation terms unless Moraa has expressly approved different terms and they are clearly disclosed before purchase.
Moraa may deny or limit refunds where it reasonably determines that a User is abusing the refund process.
8. Continuing Access to Purchased or Granted Experiences
Unless a different access period is clearly disclosed before enrollment or purchase, a Participant who individually purchases or is granted continuing access to an Experience may continue accessing that Experience and its associated content after completion.
A Practitioner may stop offering an Experience to new Participants without necessarily removing access previously granted to existing Participants. Practitioners grant Moraa the rights reasonably necessary to preserve such access even if the Practitioner later unpublishes the Experience, terminates their account, or stops offering it.
Continuing access remains subject to reasonable exceptions, including legal or intellectual-property requirements, safety or security concerns, account suspension or termination, material technical limitations, content Moraa is required or reasonably obligated to remove, or discontinuation of the relevant Service.
If an Experience clearly states before purchase or enrollment that access is limited to a specified period, that disclosed period controls.
9. Subscriptions, Memberships, Bundles, and Programs
Moraa may in the future offer subscriptions, memberships, bundles, libraries, promotions, sponsored programs, or other access programs. If introduced, Moraa will disclose applicable pricing, billing frequency, renewal, cancellation, access, and other material terms before enrollment or purchase and will provide notices and cancellation methods required by applicable law.
10. User Content and Intellectual Property
You retain ownership of intellectual-property rights you hold in your User Content.
By making User Content available through Moraa, you grant Moraa a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, analyze, adapt as technically or functionally necessary, display, transmit, distribute, and otherwise use that User Content as reasonably necessary to operate, provide, personalize, secure, evaluate, develop, and improve the Services and to make content available to Users to whom access has been authorized.
For public-facing profiles, Experiences, and Services, this license also permits Moraa to use reasonable excerpts, titles, descriptions, images, Practitioner names, profile information, and other public-facing materials to display, market, promote, recommend, or support the applicable Practitioner, Experience, Service, and Moraa.
This license continues for as long as reasonably necessary to provide the Services, fulfill existing Participant access rights, comply with legal obligations, resolve disputes, protect Moraa and its Users, and maintain reasonable backup and archival systems. Moraa does not acquire ownership of your underlying User Content merely because you use the Services.
11. Participant Use of Practitioner Content
Participants may access Experience and Practitioner content for their own personal or professional learning and development, subject to the applicable Service terms.
Unless expressly permitted, Participants may not reproduce, resell, redistribute, publicly display, republish, share private links or credentials, commercially exploit, or make Practitioner content available to third parties.
12. Content Responsibilities
You are responsible for User Content you provide. You represent that you own your User Content or have the rights, permissions, licenses, and consents necessary to use it through Moraa and grant the rights described in these Terms.
You may not upload materials that infringe another person’s copyright, trademark, privacy, publicity, confidentiality, contractual, or other rights. Practitioners must not upload confidential employer, client, student, or third-party information unless authorized to do so.
Practitioners are responsible for accurate descriptions and must not make misleading claims concerning credentials, outcomes, employment, admissions, investment performance, certifications, or other results.
13. Live Experiences, Collaboration, Recordings, and Transcripts
Moraa is designed for participatory and collaborative learning. Depending on an Experience and its settings, your name, profile, responses, comments, submissions, chat messages, collaborative contributions, audio, video, or other participation may be visible to the Practitioner, authorized co-hosts, or other Participants.
Certain Experiences may be recorded, transcribed, summarized, or archived. Moraa-produced, Moraa-sponsored, community, or other designated programming may be recorded or transcribed and may be archived for Participant access or used to create related learning materials.
For paid, private, or restricted-access Experiences, recording, availability, reuse, and distribution may be controlled by the Practitioner, Moraa, or both, depending on applicable settings, disclosures, and program terms. Moraa will not make recordings of such Experiences publicly available except as authorized by the Practitioner, disclosed to Participants, or otherwise permitted under applicable program terms.
Where recording or transcription is enabled, Moraa will provide notice as appropriate and obtain consent where required by applicable law. A recording being created does not mean it will be publicly available; it may be restricted to enrolled Participants or another authorized audience.
Users may not independently record, capture, reproduce, distribute, or rebroadcast an Experience or another User’s participation unless expressly permitted by Moraa, the Practitioner, and, where required, affected Users.
14. Artificial Intelligence, Data-Driven Features, and Improvement of Moraa
Moraa may provide artificial intelligence, machine-learning, agentic systems, recommendation, personalization, analytics, automation, assessment, and other data-driven capabilities to Practitioners, Participants, and other Users.
To provide these capabilities, Moraa and service providers acting on its behalf may process User Content and other information generated through use of the Services, including Experience content, uploaded materials, prompts, responses, interactions, participation and learning activity, instructions, outputs, edits, selections, feedback, and usage information.
Moraa may use information collected through the Services, including User Content and information about how Users create, deliver, access, and interact with Services, to operate, provide, personalize, evaluate, secure, develop, and improve Moraa, including its artificial-intelligence capabilities, AI and machine-learning models, agentic systems, learning systems, recommendations, personalization, analytics, assessments, automation, and other data-driven features.
Moraa may create and use aggregated, de-identified, analytical, statistical, and derived information for these purposes, subject to applicable law.
You retain ownership of intellectual-property rights you hold in your User Content. Moraa does not acquire ownership of your underlying User Content merely because it is processed, analyzed, or used in connection with Moraa’s Services or AI capabilities.
Moraa may use third-party artificial-intelligence, model, infrastructure, and technology providers to process information on Moraa’s behalf. Moraa does not intentionally authorize those providers to use private User Content to train their general-purpose AI models for their own independent purposes except where separately disclosed or authorized.
AI-generated outputs, analytics, assessments, and recommendations may be inaccurate, incomplete, or inappropriate. Users are responsible for reviewing outputs before relying on, publishing, distributing, or acting on them.
15. Skills, Learning, and Career Insights
Moraa may in the future offer learning, skills, or career insights, analytics, assessments, recommendations, scores, classifications, or similar features. If introduced, Moraa will provide appropriate disclosures about the information used, the nature of the feature, and who may receive the resulting information. Such features will not be treated as validated psychological, academic, employment, or professional assessments unless expressly identified as such.
16. Communications and Practitioner Updates
Moraa may send transactional and service communications concerning accounts, purchases, Experiences, schedules, security, policies, and operation of the Services.
When you enroll in or participate in an Experience, Moraa may enable you to follow or subscribe to the applicable Practitioner’s updates, subject to applicable law and disclosures provided through the Services. Promotional communications will include appropriate unsubscribe or preference controls where required.
Unsubscribing from promotional communications does not prevent necessary transactional or service-related communications.
17. Acceptable Use
You may not use Moraa to:
- violate applicable law or another person’s rights;
- harass, threaten, discriminate against, abuse, or endanger others;
- publish unlawful, fraudulent, deceptive, defamatory, or infringing content;
- impersonate another person or misrepresent identity, qualifications, affiliations, or outcomes;
- upload malware or compromise or probe Moraa’s security;
- scrape, harvest, or systematically extract information without authorization;
- interfere with an Experience or another User’s participation;
- circumvent payment, enrollment, access, subscription, or security controls;
- share private links, credentials, recordings, or content without authorization;
- manipulate reviews, ratings, referrals, participation, or marketplace signals;
- send spam or unauthorized commercial communications; or
- use AI or data-driven functionality in violation of law, third-party rights, or Moraa policies.
Moraa and Practitioners may remove Participants from Experiences when reasonably necessary to address disruption, harassment, safety concerns, policy violations, or material interference with learning. Refund eligibility following removal is determined under the Refund & Cancellation Policy and applicable law.
18. Educational, Professional, and Outcome Disclaimers
Unless expressly stated otherwise, Moraa is not an accredited educational institution and Services do not confer academic credit, professional licensure, certification, employment, admission, or another formal qualification.
Moraa does not guarantee employment, recruiting outcomes, admissions, promotions, compensation, investment or financial outcomes, business results, certifications, or any particular learning or career outcome.
General educational content concerning finance, investing, careers, law, accounting, health, or other professional subjects should not be treated as individualized professional advice. Where a Practitioner expressly provides coaching, advisory, or professional services, the Practitioner is responsible for the scope and quality of those services, and Moraa does not guarantee their advice or outcomes.
19. Third-Party Services; Suspension and Termination
The Services may depend on third-party providers, including payment, communications, analytics, hosting, authentication, video, and artificial-intelligence providers. Your use of third-party services may also be subject to their terms and privacy practices.
You may stop using Moraa at any time. Moraa may suspend or terminate accounts, restrict content or access, or delay payouts where legally permitted and reasonably necessary because of violations, fraud, payment disputes, security or safety concerns, infringement, unlawful activity, harm to Users or platform integrity, non-payment, or discontinuation of Services.
Where reasonable and legally permitted, Moraa will provide notice. Provisions that by their nature should survive termination will survive, including payment obligations, intellectual-property provisions, continuing Participant access rights, disclaimers, limitations, indemnity, and dispute provisions.
20. Disclaimers; Limitation of Liability; Indemnification
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” TO THE MAXIMUM EXTENT PERMITTED BY LAW. MORAA DOES NOT WARRANT THAT THE SERVICES WILL ALWAYS BE AVAILABLE, UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT ANY PRACTITIONER, EXPERIENCE, CONTENT, AI OUTPUT, ANALYTIC, OR RECOMMENDATION WILL MEET YOUR EXPECTATIONS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MORAA WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITIES, OR OTHER INTANGIBLE LOSSES ARISING FROM OR RELATING TO THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MORAA’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID DIRECTLY TO MORAA DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) US $100. Some jurisdictions do not allow certain exclusions or limitations, so some provisions may not apply to you.
To the extent permitted by law, you agree to indemnify, defend, and hold harmless Moraa, Inc. and its officers, directors, employees, and agents from third-party claims, liabilities, damages, losses, and reasonable expenses arising from your User Content, your violation of these Terms, your violation of another person’s rights, or, if you are a Practitioner, your Services and interactions with Participants.
21. Dispute Resolution and Arbitration
Before initiating formal proceedings, you and Moraa agree to attempt in good faith to resolve disputes informally by providing written notice describing the dispute and requested resolution.
Except for disputes eligible for small claims court and requests for temporary or injunctive relief concerning intellectual property, unauthorized access, security, or misuse of the Services, disputes arising from or relating to these Terms or the Services will be resolved through binding individual arbitration under the Federal Arbitration Act.
Arbitration will be administered by a nationally recognized arbitration provider under its applicable consumer or commercial rules, as appropriate. YOU AND MORAA WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION OR ARBITRATION TO THE MAXIMUM EXTENT PERMITTED BY LAW.
You may opt out of this arbitration agreement by sending written notice to contact@moraa.co within 30 days after first accepting these Terms. The notice must include your name, the email associated with your account, and a clear statement that you wish to opt out.
22. Copyright Complaints
Moraa respects intellectual-property rights. If you believe content available through Moraa infringes your copyright, send a notice to contact@moraa.co containing sufficient information to identify the copyrighted work, the allegedly infringing material, and how to contact you, together with the statements and signature required by applicable law.
Moraa may remove or restrict allegedly infringing content and may terminate repeat infringers where appropriate. Moraa may publish additional DMCA designated-agent information and procedures.
23. Changes; General Terms; Contact
Moraa may add, modify, or discontinue features and may update these Terms. If we make material changes, we will provide notice as appropriate and obtain renewed consent where required by law. Changes apply prospectively from the stated effective date.
These Terms, the Privacy Policy, the Refund & Cancellation Policy, and any applicable additional terms constitute the agreement between you and Moraa regarding the Services. If any provision is unenforceable, the remaining provisions remain effective. Moraa’s failure to enforce a provision is not a waiver.
You may not assign these Terms without Moraa’s consent. Moraa may assign them in connection with a merger, acquisition, financing, reorganization, sale of assets, or by operation of law.
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles, except where applicable consumer law requires otherwise.
